About the team:

The Corporate and Commercial team comprises 4 partners, 1 Senior Associate, 7 Associates, 5 Solicitors, 2 Trainee Solicitors and 2 paralegals.

The team handles a broad range of corporate and commercial matters. In M&A we typically handle deals up to £100m. Our team is particularly active in the leisure, food and beverages sectors, though it also handles matters in other areas.

Our Corporate work covers the following sectors:

• Hospitality and Leisure
• Technology
• Retail & Fashion
• Food & Drink
• Financial Services
• Media & Publishing

Our clients include start-ups, entrepreneurs, SMEs and large multi-national companies. We regularly assist clients who want to establish businesses in the UK, whether for the first time or as part of a group arrangement. We also advise on terms of trade and contractual agreements, raising finance, undertaking acquisitions or disposals, and listings on the capital markets in the UK.

Main purpose of the role:

To be a vital member of the Corporate team, providing a first class service to our clients on a range of corporate matters. You may find yourself involved in matters ranging from (but not limited to):

• Mergers & Acquisitions
• Private Equity Transactions
• Joint Ventures
• Equity Capital Raisings (start-ups to Series A, B and C)
• Corporate Mergers and Demergers
• Commercial Agreements
• Capital Markets (AIM)

You will also find yourself involved with aspects, such as:-

• Managing a variety of corporate/commercial transactions and/or associated issues
• Drafting, amending and negotiating documents in respect of M&A, investments and joint ventures or shareholder arrangements
• Managing more junior team members and/or business support teams
• Leading and participating in business development initiatives

Our ideal candidate will have the following:

• Proactive, self-motivated, and reliable individual
• Strong academic background (a 2:1 degree or equivalent)
• First-rate commercial contract drafting skills
• An excellent understanding of M&A transactions and finance raising arrangements
• Experience in managing and mentoring team members
• Demonstration of knowledge sharing skills and business development
• Excellent communication skills, both orally and in writing
• Strong organisation and administration skills, with the ability to prioritise workloads effectively
• A friendly and personable approach with colleagues and clients
• A proactive and growth mindset towards achieving goals
• Strong IT skills, including Microsoft Outlook, Word, Excel, and an ability to pick up new systems quickly.

Hours and location

9.30 am – 5.30 pm Monday to Friday, with flexibility required outside those times on occasion.

We offer flexibility to work from the office or at home with a recommended 2 days in the office and 3 days remotely. There is 1 designated team day within the office per week and 1 firmwide day in the office per month.
